Carta and NewView partner to expand startup tender offers

Carta and NewView have partnered to make it easier for startups to run tender offers, which let employees sell some of their shares before a company goes public.

In a tender offer, employees and often early investors can sell a portion of their shares at a predetermined price to an approved investor. Startups are staying private longer, leaving employees with stock compensation they may be unable to sell. NewView founder and managing partner Ravi Viswanathan said the partnership combines his firm’s experience structuring secondary deals with Carta’s equity platform to help companies launch and manage liquidity programs.

A study by NewView Capital and Carta projects that tender offers will increase threefold over the next three years among Series C and later-stage startups. Still, only 44 offers were executed in the first half of 2026, the companies found. Viswanathan said tender offers can help with employee retention and morale as startups compete with public companies for talent.

NewView led a tender offer for marketing customization startup HighTouch last year at a $1.3 billion valuation, when the company was seven years old. Other recent examples cited in the report include Decagon, Wayve and ElevenLabs; the latter conducted two tender offers in less than a year.

Viswanathan said companies are staying private for 12 to 15 years, and argued that providing employees with liquidity during that period could help prevent talent from leaving for public companies.
